Club Information

The Keysborough Golf Club was founded by Mr J M Gillespie in about 1898 and was known then as the Albert Park Golf Club.  The Club held permissive occupancy at Albert Park until the permit was withdrawn in 1946/47.

Through Mr M Gyngell, members secured the land at Keysborough in 1947 and commenced play at this course in 1950.  Management and control was through elected committees and trustees until 1984 when the Club became a registered legal entity in accordance with the Victorian Associations Incorporation Act 1981 (Vic.).

In 1992, Keysborough Golf Club Holdings Limited (Holding Company) was registered as an Australian public company, limited by shares with the company being unlisted.  Prospectuses were issued for initial capital raisings and shares in the Holding Company were sold to interested parties.  The Holding Company’s principal activity involves the provision of finance to the Club on terms which do not include any interest or rent.  In return, the Club has executed a Deed of Trust in favour of the Holding Company, declaring that the Club holds the land and buildings on trust for the Holding Company.  

The Deed of Trust between the Holding Company and the Club also provides for the management and control of the golf course and facilities.  The Office Bearers and other Committee Members elected or appointed under these Rules are also invited to become directors of the Holding Company and, if they accept, serve as such while holding any position on the Club’s Committee of Management.

The Holding Company is regulated by the Australian Securities and Investments Commission, operating under the applicable provisions of the Corporations Act 2001 (Cth.) and the Holding Company’s Constitution.  The Club continues to operate as an incorporated association in accordance with the Associations Incorporation Reform Act 2012 (Vic.) and these Rules are regulated by Consumer Affairs Victoria.  

As stated in these Rules, Members of the Club may be holders of playing rights attached to shares in the Holding Company, whether as owners of a share or as a lessee of a playing right from a shareholder or from the Club, or a junior or other member not required by these Rules to own a share or lease a playing right.

The Club’s principal assets are the golf course, clubhouse and associated facilities, which are available to all Members of the Club and their invited guests in accordance with these Rules.
